These Terms and Conditions ("Terms") govern your access to and use of the Reventir platform, website, and related services ("Services") provided by Epik Solutions, Inc., doing business as Epikso ("Company," "we," "us," or "our"), headquartered in Pleasant Hill, California.
By accessing our website, engaging our Services, or entering into a service agreement with us, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree to these Terms, do not use our Services.
Reventir is a revenue intelligence platform that combines ontology, AI agents, and knowledge systems to help organizations make data-driven revenue decisions. Our Services are delivered as professional engagements and may include discovery and assessment, AI model development and configuration, knowledge system design, integration with your existing business systems, strategic guidance, and ongoing optimization.
The specific scope, deliverables, timeline, and fees for each engagement are defined in a separate Statement of Work (SOW) or service agreement executed between you and the Company. In the event of a conflict between these Terms and your SOW, the SOW will govern with respect to the specific engagement.
To enable effective delivery of our Services, you agree to provide timely access to the data, systems, personnel, and information reasonably required for us to perform our work. You are responsible for the accuracy and completeness of the business data you provide. You agree to designate an authorized point of contact for engagement communications and decisions, review and provide feedback on deliverables within the timelines outlined in your SOW, and ensure that your use of our Services complies with all applicable laws and regulations.
Delays resulting from your failure to meet these responsibilities may impact project timelines and do not constitute grounds for refund or penalty against the Company.
Fees for our Services are set forth in your SOW or service agreement. Unless otherwise specified, invoices are due within 30 days of the invoice date. Late payments may incur interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.
We reserve the right to suspend Services if payment is more than 30 days overdue, upon written notice. All fees are exclusive of applicable taxes, which are your responsibility.
All intellectual property rights in the Reventir platform — including its underlying AI models, algorithms, ontologies, frameworks, methodologies, tools, and documentation — are and remain the exclusive property of the Company. Nothing in these Terms or in any engagement transfers ownership of Company IP to you.
You retain all rights in the business data, content, and materials you provide to us ("Client Data"). You grant us a limited, non-exclusive license to use Client Data solely for the purpose of delivering the Services during the term of your engagement.
Ownership of custom deliverables created specifically for your engagement (such as configured models, custom reports, or tailored knowledge structures) will be governed by the terms of your SOW. Unless your SOW states otherwise, you receive a non-exclusive, perpetual license to use such deliverables for your internal business purposes.
Both parties agree to treat as confidential any non-public information received from the other party in connection with the Services, including business data, financial information, technical details, strategies, and proprietary methodologies ("Confidential Information"). Neither party will disclose the other's Confidential Information to third parties except as required to deliver the Services (to authorized personnel or subcontractors bound by equivalent obligations), as required by law, or with prior written consent.
Confidentiality obligations survive the termination of these Terms for a period of three (3) years.
We process data in accordance with our Privacy Policy and applicable data protection laws. We implement commercially reasonable administrative, technical, and physical safeguards to protect Client Data and will promptly notify you of any confirmed security breach affecting your data.
Upon termination of an engagement, we will return or securely delete Client Data in accordance with the terms of your SOW and our data retention policies, unless retention is required by law.
Reventir utilizes artificial intelligence, machine learning models, and automated knowledge systems as part of its Services. While we strive for accuracy and reliability, AI-generated outputs — including predictions, recommendations, and analytical insights — are provided as decision-support tools and should not be treated as guaranteed outcomes.
You acknowledge that AI systems may produce results that require human review and judgment, model performance may vary based on the quality, completeness, and nature of the input data provided, and we continuously improve our models but do not warrant that outputs will be error-free. The Company is not liable for business decisions made based on AI-generated outputs. You are responsible for applying appropriate judgment when acting on insights provided through the platform.
We warrant that our Services will be performed in a professional and workmanlike manner consistent with generally accepted industry standards. If any Services fail to meet this warranty, your exclusive remedy is for us to re-perform the affected Services at no additional cost, provided you notify us in writing within 30 days of delivery.
Except as expressly stated above, the Services are provided "as is." We disclaim all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation of the platform, that AI outputs will achieve specific business results, or that the Services will meet requirements beyond those defined in your SOW.
To the maximum extent permitted by applicable law, the Company's total liability arising out of or related to these Terms or any engagement will not exceed the total fees paid by you to the Company under the applicable SOW during the twelve (12) months preceding the claim.
In no event will either party be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or business opportunities, regardless of the theory of liability — even if advised of the possibility of such damages.
These limitations apply collectively to the Company, its affiliates, officers, employees, and contractors.
You agree to indemnify and hold harmless the Company and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your violation of these Terms, your misuse of the Services, or your breach of any representation or warranty made herein.
These Terms remain in effect for as long as you use our Services or have an active engagement with us. Either party may terminate an engagement as provided in the applicable SOW. Either party may terminate for cause if the other party materially breaches these Terms or the SOW and fails to cure the breach within 30 days of written notice.
Upon termination, you must cease use of any Company IP, and we will return or delete Client Data as described in Section 7. Sections relating to intellectual property, confidentiality, limitation of liability, indemnification, and governing law survive termination.
You agree not to use the Services for any unlawful purpose or in violation of applicable laws, attempt to reverse-engineer, decompile, or extract source code from the Reventir platform, interfere with or disrupt the integrity or performance of the Services, use the Services to develop a competing product or service, or share access credentials with unauthorized third parties.
Both parties agree to attempt to resolve any dispute arising from these Terms through good-faith negotiation. If a dispute cannot be resolved within 30 days, it will be submitted to binding arbitration in Contra Costa County, California, under the rules of the American Arbitration Association. Each party bears its own costs, and the prevailing party may recover reasonable attorneys' fees.
Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction to protect its intellectual property or Confidential Information.
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-laws principles.
We may update these Terms from time to time. When we make material changes, we will update the effective date at the top of this page and, where we have a direct relationship with you, provide reasonable notice. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
These Terms, together with your SOW and Privacy Policy, constitute the entire agreement between you and the Company regarding the subject matter herein. If any provision of these Terms is held to be unenforceable, the remaining provisions continue in full force. Our failure to enforce any provision does not constitute a waiver. You may not assign these Terms without our prior written consent. We may assign our rights and obligations in connection with a merger, acquisition, or sale of all or substantially all of our assets.
